The Custom Predator Call Makers and Collectors Association Bylaws Name: The Custom Predator Call Makers and Collectors Association Mission Statement: To promote custom predator calls, their makers and collectors, and to preserve the rich history and heritage of this truly custom craft. Membership: During the first year of the association's operation, members will join by invitation only. After the first year of operation, if the board considers the existing membership group to be stable enough, the application process will be open to all. The application is then subject only to approval by the board. If at the end of the 12th month of operation the board does not consider the association self sustainable, it can extend the "membership by invitation only" period by 6 months, and reevaluate the new membership process at the end of the 6th month. After an invitation has been extended, the recruitment officers will advise the potential new member of the acceptance/denial process. It will be the responsibility of the recruitment officer to be the liaison between the prospective new member and the board should any questions arise. When a new member is accepted, it will also be the responsibility of the recruitment officer to supply the new member with an official copy of the bylaws ensuring full comprehension of said bylaws. Initially membership will be free of charge, however when and if it is deemed necessary by the board to require membership dues, all current members will pay the specified dues amount to stay active. Depending on expenses and the number of members, the board shall reserve the right to increase or reduce the dues as needed to keep the association solvent. The Executive Board of Directors: The Executive Board of Directors shall consist of the following positions and following term lengths. Every other office, starting with the president, will be voted in on odd numbered years with all others being voted on in even numbered years. All nominations for the Executive Board of Directors must be made to the secretary by October 1. Voting will take place in December and all offices will start January 1. President 2 years Vice President 2 years Secretary 2 years Treasurer 2 years Recruitment Officers 2 years IT/Web Indefinite Exec Board Members 2 years President: The president shall conduct meetings, supervise and direct the duties of all board members, and be responsible for assigning special tasks, and responsibilities to others. Vice President: The Vice president shall perform the duties of the President in his absence or illness. The Vice President is also responsible for publishing quarterly newsletters and distributing said info via either email or postal to all members. Secretary: The Secretary shall keep track of the association’s minutes, ideas, and membership roster. Treasurer: The Treasurer shall be responsible for ensuring the fiscal operation of the association is kept legal and report to the Board of Directors the financial status of the association. Recruitment officer(s): At least two Recruitment Officers shall be on staff at all times. IT/Web: The IT/Web master shall be responsible for the upkeep and maintenance of the associations website. Idle Executive Board Members: Shall be those members of the executive board of directors who have voting rights but don't hold an official office. This group of members shall be the first considered should there be a vacancy as an officer of the board. When a new president is elected, the past president shall have a seat as an Idle Exec Board Member to assist in the smooth transition in leadership by mentoring the new president until he/she is self sufficient as President. General Membership: The general membership shall be composed of those members who are not members of the Executive Board. They will have voting rights when it comes to electing offices of the executive board only. Any member can nominate any other another member for election into an office. Self nominations will not be accepted. Meetings: Meetings will be held by special request of any member of the executive board. The acceptance/denial process for new members will be decided in the CPCMCA "New Member Applications" Forum by discussion and simple majority vote by executive board members only. New applications will be processed during a 14 day tabling period in which open discussion is conducted concerning the applicant in question. Until the associations executive board of directors deems fit, all voting will be done by members of the executive board only. Contests: Various types of contests will be allowed. All contests must be initiated by suggestion in writing to the Executive Board of Directors. A majority vote by the Executive Board of Directors is necessary for the contest to be endorsed by the association. Committees: Shall be an appointed by the Executive Board of Directors. Possible committee appointments could be coordinating contests, social gatherings, and others as needed. Bylaw Amendments: Amendments shall be in writing and directed to the Executive Board of Directors. Changes shall be approved by a simple majority vote. Initially all bylaw amendments will be voted on by the Executive Board of Directors only. The act of allowing all members to vote on bylaw amendments shall be evaluated and voted on when the Executive Board of Directors determines that the association has reached sufficient stature. At which time if a majority vote in favor or allowing all members to have full voting rights is reached, full voting privileges will be bestowed upon all members. |
